The parties
- The licensor (your business) and the licensee (the member's business), with registered addresses.
- Who signs for each side, and in what capacity.
The space
- Cabin number, number of seats and the floor.
- Shared areas the member may use, such as the pantry, meeting rooms and reception.
- Access hours, and whether weekends and holidays are included.
Term and lock-in
- Start date, length of the licence, and any lock-in period.
- How renewal works, and whether it is automatic.
Licence fee and payments
- Monthly licence fee, the due date, and accepted payment methods.
- Any annual escalation, and from when.
- Late payment terms, stated plainly.
- How taxes on the fee are shown on invoices (confirm with your CA).
Security deposit
- Amount, when it is paid, and that it earns no interest (if so).
- When and how it is refunded, and what may be deducted.
What is included
- Electricity, internet, housekeeping, drinking water and pantry.
- Free meeting room hours each month, if any, and the rate beyond them.
- What costs extra, such as parking, printing or after-hours air conditioning.
Conduct and care
- House rules, visitor policy and use of common areas.
- Who pays for damage beyond normal wear.
- No subletting without written permission.
Notice and exit
- Notice period for each side, and how notice is given.
- Handover of keys and access cards, and the condition of the cabin.
- Final settlement: outstanding dues, deposit refund and its timeline.
Signing and records
- How the agreement is signed (on paper or online) and where each side keeps its copy.
- Stamping and registration requirements for your state.
